Terms and Conditions / Terms of Service

Welcome to Jackie Sinclair & Co. By using our social media content management and digital marketing services (the “Services”), you agree to the following Terms and Conditions (“Terms”). Please read them carefully. If you do not agree to these Terms or our Privacy Policy, you may not access or use our Services.
1. Acceptance of Terms
By engaging with Jackie Sinclair & Co., whether through a signed agreement, payment, or continued use of our Services, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms.
2. Services Provided
We provide professional digital marketing and content management services, including but not limited to:
Social media content creation, curation, and scheduling
Strategic campaign planning and execution
Community engagement (responding to comments or messages where applicable)
Social media account audits
Performance analytics and reporting
Marketing consultation and education through proprietary methods (including The Social Cycle®)
The specific scope of services for each client will be outlined in a separate proposal, agreement, or invoice.
3. Client Responsibilities
To ensure timely and effective delivery of services, you agree to:
Provide access to relevant assets, logins, and materials as requested.
Respond to feedback requests or content approvals promptly.
Ensure all information and assets provided are accurate, lawful, and free of third-party infringement.
Understand that we are not responsible for platform-specific issues such as algorithm changes, outages, or account suspensions.
4. Payments
Fees: Service fees are outlined in your invoice, service package, or agreement.
Payment Terms: Payments are due per the schedule provided. Late payments over 7 days will incur a 5% late fee and may result in service delays or suspension.
Refunds: Fees are non-refundable once services have commenced, digital assets have been delivered, or content creation has started, except as required by law.
Pause/Termination for Non-Payment: We reserve the right to suspend or terminate services for past-due accounts.
5. Intellectual Property
Any custom content created for you (e.g., graphics, written copy, branded templates) becomes your intellectual property upon full payment.
You grant Jackie Sinclair & Co. a limited, non-exclusive license to use your brand assets solely to fulfill service obligations.
We retain the right to showcase completed work in our portfolio or marketing materials unless otherwise agreed in writing.
Proprietary systems such as The Social Cycle® remain the intellectual property of Jackie Sinclair & Co. and may not be redistributed, resold, or copied without written consent.
6. Revisions & Approvals
Your service package includes a specified number of revisions for content.
Revisions beyond the agreed number may incur additional fees.
Approval delays may impact timelines. If no feedback is received within five (5) business days of delivery, content may be considered approved.
7. Termination
Either party may terminate services with 30 days’ written notice.
Upon termination, all unpaid balances are due immediately, and any completed work to date will be delivered.
Jackie Sinclair & Co. reserves the right to terminate services immediately in cases of breach, non-payment, or abusive communication.
8. Limitation of Liability
To the maximum extent permitted by law:
Jackie Sinclair & Co. is not liable for indirect, incidental, punitive, or consequential damages.
We are not liable for third-party platforms’ behavior, performance, or changes (e.g., Meta, TikTok, LinkedIn).
Our total liability shall not exceed the amount paid by you for Services in the preceding 30 days.
9. Indemnification
You agree to indemnify, defend, and hold harmless Jackie Sinclair & Co. from any and all claims, damages, liabilities, and expenses (including legal fees) arising from:
Content or materials provided by you
Unauthorized use of Services
Violation of applicable laws or third-party rights
Breach of these Terms
10. Data Protection & Confidentiality
We will treat your data and information as confidential and implement industry-standard security measures. See our Privacy Policy for full details. Confidential information will not be disclosed without your consent unless required by law.
11. Modifications to Services or Terms
We may update these Terms or modify the scope of our Services at any time. Changes will be posted with the updated effective date. Continued use of our Services constitutes acceptance of any updates.
12. Governing Law
These Terms are governed by the laws of the State of California, USA. Any disputes will be resolved in the courts located in Riverside County, California.
